Job Description:

Legal, company, and board secretary job description: 

  • Developing and leading corporate legal strategy to promote and protect the company's matters 
  • Developing and leading corporate compliance procedures
  • Delivery of legal services and resources to accomplish corporate goals, strategies and priorities
  • Maintaining proper corporate interactions with the relevant authorities, NRB, Central and Provincial Government, and local bodies at large 
  • Participating in the formulation of general management policy as a member 
  • Work and prepare all necessary documents as company and board secretary. 
  • Prepare board meeting notice, resolution and certified resolution copy in Nepali / English with the approval of Chairman.
  • Prepare various letters in Nepali/ English for the company. 
  • Prepare annual general meeting notice, resolution and submit to various required documents to relevant authority in time. 
  • Providing legal counsel to the board of directors, chairman of the board, chief executive officer and other senior management. 
  • To analyse legal implications of various issues and advising various internal stake-holders and management on it. 
  • Dealing with all legal matters including commercial, criminal, civil, police liaison, and arbitration matters. Drafting, vetting of Criminal complaints, criminal write appeals and well versed with Court Process and Police department. 
  • Drafting and vetting of various local and cross-border agreements, contracts and other documents. 
  • Attending Court cases and assisting the counsel in drafting of Written Submissions & Petitions. 
  • To give business the edge by pre-empting its needs fool proof agreements etc.
  • Responsible for litigation, legal notices, keep records of all company documents, licenses and compliances and all litigation matters. 
  • Dealing in legal aspects relating to various Labour Laws, Companies Act, IT Act, NRB Act/ Directives/Regulations, cyber law, Patents law, Civil law and other applicable laws for the company. 
  • Any other works assigned by the Board of directors, Chairman and CEO from time to time.

Education + Experience:

  • Bachelor’s and/or in HR management, Business Administration, Law, or related field.
